These Terms govern your use of this website and related digital materials provided by kAIsyn LLC, doing business as Kaisyn Labs. By using this website, you agree to these Terms.
1. Entity and Use of Site
This website is operated by kAIsyn LLC, doing business as Kaisyn Labs. References to “kAIsyn,” “Kaisyn Labs,” “we,” “us,” or “our” refer to kAIsyn LLC.
If you do not agree to these Terms, do not use this website.
2. No Client Relationship by Website Use
Viewing this website, submitting a form, downloading materials, or communicating with us does not create a client, consulting, advisory, engineering, or professional services relationship.
A client relationship begins only when both parties execute a written agreement, proposal, quote, or statement of work.
3. Services and Engagements
Kaisyn Labs may provide consulting, operational systems design, manufacturing workflow analysis, software implementation, automation strategy, internal tooling, documentation, training, fabrication support, additive manufacturing, prototyping, custom assembly, integration services, and related technical services.
Certain deliverables may include software, documentation, physical prototypes, fabricated components, assembled devices, low-volume production outputs, or customer-specific systems.
All services are governed by separate written agreements, proposals, statements of work, quotes, or engagement terms. In the event of conflict between these Terms and a signed agreement, the signed agreement controls.
4. Operational Responsibility
Our work may include recommendations, workflows, automation logic, software, documentation, decision-support tools, physical deliverables, or systems intended to improve operations.
Clients remain responsible for validating outputs, maintaining safe operations, complying with applicable laws and standards, supervising implementation, and making final operational decisions.
Unless expressly stated in a signed agreement, our work does not constitute licensed engineering, legal, financial, safety, tax, regulatory, or compliance advice.
5. Physical Products, Fabrication, and Assembly Deliverables
Certain engagements may involve fabrication, additive manufacturing, prototyping, assembly, integration, low-volume production, or delivery of physical components or systems.
Custom fabricated or manufactured deliverables may include dimensional tolerances, cosmetic variation, material variation, process limitations, environmental sensitivity, performance variation, or other characteristics inherent to prototyping or manufacturing methods.
Unless explicitly stated in writing, fabricated or assembled deliverables are not certified for regulated, safety-critical, medical, life-safety, structural, or mission-critical use.
Prototype, pilot, or custom-manufactured deliverables are provided for the agreed engagement purpose and should not be assumed equivalent to validated production-grade products unless expressly documented.
6. Customer Specifications and Third-Party Components
Clients remain responsible for the suitability, legality, safety, compliance, completeness, and accuracy of customer-supplied specifications, CAD files, drawings, firmware, electronics, materials, assemblies, instructions, or third-party components.
Kaisyn Labs is not responsible for defects, failures, incompatibilities, performance issues, compliance failures, or damages arising from customer-provided designs, specifications, materials, instructions, or supplied components unless explicitly assumed in writing.
7. Inspection and Acceptance
Clients are responsible for promptly inspecting physical deliverables upon receipt.
Any claims relating to visible defects, damage, nonconformity, shortages, or manufacturing concerns must be reported within ten (10) business days of delivery unless otherwise agreed in writing.
Failure to provide timely notice may constitute acceptance of the deliverables.
8. No Guaranteed Outcomes
We may describe goals, estimates, expected improvements, technical assumptions, prior results, performance targets, or anticipated outcomes. These are not guarantees.
Operational, manufacturing, technical, or commercial outcomes depend on numerous factors outside our control including implementation quality, operating conditions, third-party components, environmental conditions, supplied materials, customer decisions, equipment condition, and end-use context.
9. Intellectual Property
All website content, frameworks, methods, templates, visuals, copy, designs, software concepts, documentation, and related materials are owned by kAIsyn LLC or its licensors unless otherwise stated.
Unless explicitly assigned in a signed agreement, Kaisyn Labs retains ownership of its pre-existing frameworks, methodologies, reusable software, architectures, processes, know-how, tooling concepts, and operational systems.
Client-specific deliverable ownership shall be governed by the applicable signed engagement agreement.
10. Acceptable Use
You may not use this website to interfere with its operation, attempt unauthorized access, scrape content, introduce malicious code, misrepresent your identity, infringe intellectual property rights, or use our materials for unlawful purposes.
11. Third-Party Tools and Links
This website may link to or integrate third-party tools, platforms, analytics providers, scheduling tools, hosting services, or embedded content.
We are not responsible for third-party websites, policies, availability, security, or content.
12. Disclaimer
This website and its content are provided for informational purposes only and are provided “as is” without warranties of any kind.
Except where expressly agreed in writing, Kaisyn Labs disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, suitability for end use, production readiness, non-infringement, uninterrupted availability, and accuracy.
13. Limitation of Liability
To the fullest extent permitted by law, kAIsyn LLC shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, downtime, recall costs, product failures, downstream customer claims, equipment damage, lost opportunities, or operational losses.
To the fullest extent permitted by law, our total liability relating to website use shall not exceed one hundred dollars ($100), and service-specific liability shall be governed by the applicable signed agreement.
14. Indemnification
You agree to indemnify and hold harmless kAIsyn LLC, Kaisyn Labs, and their owners, contractors, representatives, and affiliates from claims arising out of your misuse of the website, violation of these Terms, customer-supplied specifications or components, or violation of applicable law.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
